1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the “Talking Buddy AI” mobile application (“Application” or “Service”) provided by yapAI Labs Artificial Intelligence Technologies Inc. (“yapAI Labs,” “we,” or “us”). By downloading, accessing, or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Application.

2. Description of Services

“Talking Buddy AI” is a mobile application that enables users (“User” or “you”) to engage in conversational interactions with an AI assistant. The Application utilizes artificial intelligence technologies, including APIs from OpenAI and Text-to-Speech (TTS) services, to generate and deliver responses.

3. Acceptance of Terms

By accessing or using the Application, you affirm that you are at least 13 years old. If you are between 13 and 18 years old, you represent that you have obtained parental or guardian consent to use the Application.

4. User Obligations

4.1. Compliance with Laws

You agree to use the Application in compliance with all applicable laws and regulations.

4.2. Prohibited Conduct

You agree not to:

• Use the Application for any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable purpose.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the operation of the Application or servers or networks connected to the Application.
• Engage in any activity that could harm or exploit minors.

5. Intellectual Property Rights

5.1. Ownership

All content, features, and functionality of the Application—including but not limited to text, graphics, logos, icons, images, audio clips, and software—are the exclusive property of yapAI Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for your personal, non-commercial use in accordance with these Terms.

5.3. User Content

You are solely responsible for any content you input or transmit through the Application (“User Content”). You grant yapAI Labs a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

6. Third-Party Services

6.1. OpenAI API

The Application uses the OpenAI API to generate AI responses to your inputs. By using the Application, you agree to OpenAI’s Terms of Use and Privacy Policy.

6.2. Text-to-Speech (TTS) Services

We utilize third-party Text-to-Speech (TTS) APIs to convert text responses into audible speech. These services may process your data according to their own terms and privacy policies. By using the Application, you agree to the terms and policies of these TTS service providers.

6.3. Firebase (Google Cloud Services)

Our Application uses Firebase for backend infrastructure and data storage. Your data may be processed by Firebase in accordance with Google’s Terms of Service and Privacy Policy.

6.4. No Control Over Third Parties

We do not have control over the content, privacy policies, or practices of any third-party services. We are not responsible for the terms and policies of these third parties.

7. Fees, Payments, and Premium Subscription

7.1. Fees and In-App Purchases
The Application may offer in-app purchases. All transactions are processed through the relevant app store (e.g., Apple App Store, Google Play Store) and are subject to their terms and conditions. Prices and payment terms are subject to change without notice.

7.2. Premium Subscription
Premium users receive a daily quota of 100 voice chats and unlimited text messaging under a *fair use policy designed to ensure that unlimited usage does not negatively affect service performance for other users. Apart from the voice chat limit, there is no difference in data processing between premium and standard users. We reserve the right to modify these usage conditions and update our fee policy at any time without prior notice.

 

*Fair Use Policy: Usage is also subject to rate limits imposed by our API and TTS providers.

8. Disclaimer of Warranties

8.1. “As Is” and “As Available”

The Application is provided on an “AS IS” and “AS AVAILABLE” basis. yapAI Labs makes no representations or warranties of any kind, express or implied, regarding the use or the results of this Application.

8.2. No Warranty

To the fullest extent permitted by law, yapAI Labs disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

In no event shall yapAI Labs, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use or inability to use the Application.

10. Changes to the Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website at www.yapailabs.com. Your continued use of the Application after any such changes constitutes your acceptance of the new Terms.

11. Termination

We may terminate or suspend your access to the Application immediately, without prior notice, if you breach any of these Terms. Upon termination, your right to use the Application will cease immediately.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the courts located in Ankara, Turkey.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and yapAI Labs regarding the Application and supersede any prior agreements.

15. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17. Feedback

By submitting feedback or suggestions, you grant us the right to use such feedback without any restriction or compensation to you.

18. User Conduct

You agree that you will not:

• Upload or transmit viruses or any other malicious code.
• Attempt to gain unauthorized access to any portion of the Application.
• Harvest or collect information about other users without their consent.

19. Updates to the Application

We may provide updates or modifications to the Application to improve functionality or address security issues. You agree to receive such updates as part of your use of the Application.

20. Privacy

Your use of the Application is also subject to our Privacy Policy (see Privacy Policy page), which explains how we collect, use, and protect your personal data.
